By accessing and using ACO AppCentral ("Platform"), you agree to be bound by these Terms of Service. ACO AppCentral is owned and operated by Emprise Health LLC, a Delaware limited liability company ("Emprise Health," "we," "us," or "our").

If you do not agree to these terms, please discontinue use of the Platform immediately.

2. Service Description

ACO AppCentral is a free platform designed to assist healthcare organizations with Medicare Shared Savings Program (MSSP) application management. Our services include:

• MSSP application workflow tracking and management
• Participant organization management tools
• Configuration management for MSSP parameters
• Access to official CMS resources and guidance
• Progress tracking and deadline management

3. User Responsibilities

As a user of ACO AppCentral, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your account credentials
• Use the Platform in compliance with all applicable laws and regulations
• Respect intellectual property rights
• Not attempt to breach security or access unauthorized areas

4. Regulatory Compliance

• Compliance with all CMS requirements and MSSP regulations
• Accuracy and completeness of your MSSP application submissions
• Meeting all application deadlines and requirements
• Ensuring proper authorization and agreements with participants
• Maintaining appropriate healthcare compliance programs

5. Platform Availability

ACO AppCentral is currently provided as a free beta service. While we strive for continuous availability:

• Service may be interrupted for maintenance or updates
• Features may be modified, added, or removed
• We may transition to paid service models in the future
• Users will be notified of significant changes

6. Intellectual Property

The ACO AppCentral platform, including its design, features, and content, is the exclusive property of Emprise Health LLC. All rights reserved.

You retain ownership of data you input into the Platform. By using our services, you grant us necessary rights to process and store your data to provide the Platform functionality.

7. Disclaimers and Limitations

Emprise Health LLC disclaims all warranties, express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Accuracy or completeness of information
• Uninterrupted or error-free operation
• Security or data protection guarantees

8. Limitation of Liability

To the maximum extent permitted by law, Emprise Health LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of ACO AppCentral.

Our total liability to you shall not exceed the amount you paid for the service (currently $0 for free tier users).

9. Termination

Either party may terminate access to ACO AppCentral at any time. Upon termination:

• Your access to the Platform will cease
• You may export your data prior to termination
• These Terms remain in effect for past use

10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
